before registering for or subsequently subscribing to any services.

a registered user of WWW.COUNSELINGWORLD.COM and as a user you agree
to be bound by the terms and conditions of this agreement (the "Terms")
for as long as you continue to be a Registered User. The Terms are subject
to change by WWW.COUNSELINGWORLD.COM in its sole discretion at any time,
with or without notice. Please check WWW.COUNSELINGWORLD.COM for changes. As a user your continued
use of WWW.COUNSELINGWORLD.COM or any services after the posting
of changes to this agreement will constitute your acceptance of such
changes. The services may not be accessed in any state or country where
it is prohibited by law.

meaning as a user you agree it is at your own risk. WWW.COUNSELINGWORLD.COM is
not responsible for technical problems on the internet, messages accidentally
lost or misdirected, Internet service providers? downtime, or communications
intercepted by a third party or hackers. WWW.COUNSELINGWORLD.COM
is not responsible for any inaccurate information given to WWW.COUNSELINGWORLD.COM by
the user, thereby preventing WWW.COUNSELINGWORLD.COM from
giving the user utmost effectiveness. While, reasonable care is taken, WWW.COUNSELINGWORLD.COM does
not give a guarantee the services provided meet your requirements, will
be error free or successful in outcome. WWW.COUNSELINGWORLD.COM is
not responsible in anyway whatsoever for any decision, action or inaction
made by a user as a consequence of consultation(s) and is solely your
responsibility. WWW.COUNSELINGWORLD.COM as
such is not liable for legal action or personal indemnity forthcoming
from individuals or other entities.

a user you must be 18 years of age or older or have permission of a
legal guardian to participate.
- As
a user you agree in the event of a crisis or an emergency you will not
rely solely on WWW.COUNSELINGWORLD.COM and
agree to seek help within your local area i.e., phone 911.
- As a user you agree
you have no intention or thoughts of harming yourself or others in anyway. As
a user you further agree all the information you're providing about
yourself and your problem/s is/are true.
- As
a user you understand during the process of counseling psychological
pain & distress can arise, especially as difficult issues are addressed
and/ or resolved.
- As
a user you understand if receiving couple oriented services both parties
must read & agree to the Terms & conditions of this site.
- As
a user you understand an alternative method of contacting clients may
be required in case of emergency.
- If
as a user you are currently receiving counseling or are under the care
of a psychiatrist or other mental health professional you will inform WWW.COUNSELINGWORLD.COM. This must be in your
profile and you will be required to sign a release of information so
your current providers may be consulted by WWW.COUNSELINGWORLD.COM and its staff and
associates if necessary.
- As
a user you understand security issues and technical problems may occur
on the internet. Including, messages accidentally lost or misdirected,
internet service providers? downtime, or communications intercepted
by a third party or hackers and WWW.COUNSELINGWORLD.COM is
not responsible in any way whatsoever.
- As
a user you understand email correspondence is up to the duration specified
in the email type chosen, and correspondence requiring more than the
specified time may be continued in the beginning of the next email correspondence.
- As
a user you acknowledged and accept there are, ?Duty to Warn,? requirements
& mandatory reporting laws. See below for details.
- As a user you declare
your own charge card. As a user and/ or provider you have signed up
for professional services and you are the card holder or the card holder
granted you permission to use said card.
- As a user you declare
you are aware of the experimental nature of internet mediated provisions
of mental health services, even though techniques used on the site may
be based on both scientific research and best practices derived over
the history of the profession.
- As a user you declare
your removal from WWW.COUNSELINGWORLD.COM if from the initial assessment sessions
or application process as a user you do not fit the criteria or as a
user you are not a good candidate for online counseling (as client or
clinician) or as a user you disregard the seriousness of the process.
Under such circumstances, we may recommend as a user you seek office
treatment in your local area.

Online Conduct.
- As a user you will
only use www.counselingworld.com in a manner consistent with this Agreement
and any and all applicable local, state, national and international
laws and regulations, including, but not limited to, United States export
control laws. As a user you are not located in, under the control of,
or a national or resident of any country which the United States has
(I) embargoed goods, (ii) identified as a "Specially Designated
National", or (iii) placed on the Commerce Department's Table of
Deny Orders. Membership in, and use of, the Service is void where prohibited.
To the extent the Services are not legal in as a user your jurisdiction;
as a user you may not use the Services.
- As a user you hereby
acknowledge and agree the following is WWW.COUNSELINGWORLD.COM's highly valuable proprietary information:
text, graphics, audio, video or rich media content or other content
provided to as a user you by or on behalf of WWW.COUNSELINGWORLD.COM . As a user you will not post, copy,
modify, transmit, disclose, show in public, create any derivative works
from, distribute or reproduce in any way any (I) Company Confidential
Information or (ii) other copyrighted material, trademarks, or other
proprietary information accessible via the Service, without first obtaining
the prior written consent of the owner of such proprietary rights. As
a user you also agree not to use WWW.COUNSELINGWORLD.COM Confidential
Information except as reasonably necessary for as a user you or as a
user your business.
- As a user you are
solely responsible for (I) the information you contribute to WWW.COUNSELINGWORLD.COM; (ii) the information you post or
otherwise make available to Registered Users through the electronic
posting areas offered by the Service; and (iii) as a user your interactions
with WWW.COUNSELINGWORLD.COM other Registered Users through the
Service.
- WWW.COUNSELINGWORLD.COMoffers tools and services. However,
as a user you understand such tools and all other aspects of the services,
are only exercises and WWW.COUNSELINGWORLD.COM makes no guarantees, either express
or implied, regarding your Behavioral Health Practice or the state of
your Behavioral Health before, during, or after subscribing to WWW.COUNSELINGWORLD.COM and completing any programs offered.
- As a user you will
promptly report to WWW.COUNSELINGWORLD.COM any violation of the Terms of this
Agreement by other Registered Users.
- WWW.COUNSELINGWORLD.COM reserves the right, but has no obligation,
to monitor the information you submit to WWW.COUNSELINGWORLD.COM and the materials you post in the
public areas of WWW.COUNSELINGWORLD.COM. WWW.COUNSELINGWORLD.COM shall have the right to remove any
such information or material in its sole opinion violates, or may violate,
any applicable law or either the letter or spirit of this Agreement.
- Proprietary
Rights.
- WWW.COUNSELINGWORLD.COM owns and hereby retains all proprietary
rights in the Service and the Site. The Service and the Site contain
copyrighted material, trademarks, and other proprietary information
of WWW.COUNSELINGWORLD.COM, its licensors and other third parties.
Other Registered Users may post copyrighted information, which has copyright
protection whether or not it is identified as copyrighted. No rights
or licenses are granted hereunder other than the limited, non-exclusive
license to use the Service in accordance with the terms and conditions
of this Agreement for as a user your personnel use during the term hereof.
As a user you agree as a user you will not copy, modify, publish, transmit,
distribute, perform, display, or sell WWW.COUNSELINGWORLD.COM or third party proprietary information
available via the Service or the Site.
- By posting information
or content to any public area of the Service, you automatically grant,
and as a user you represent and warrant you have the right to grant,
to WWW.COUNSELINGWORLD.COM and other Registered Users an irrevocable,
perpetual, non-exclusive, fully-paid, worldwide license to use, copy,
publicly perform, publicly display and distribute such information and
content and to prepare derivative works of, or incorporate into other
works, such information and content, and to grant and authorize sub-licenses
of the foregoing.

no obligation, to disclose any information you submit, if in its sole
opinion, WWW.COUNSELINGWORLD.COM suspects or has reason to suspect,
the information involves a party who may be the victim of abuse of any
form. Abuse may include, without limitation, elder abuse, child abuse,
spousal abuse, neglect, or domestic violence. Information may be disclosed
to authorities WWW.COUNSELINGWORLD.COM , in its sole discretion, deem appropriate
to handle such disclosure. Appropriate authorities may include, without
limitation, law enforcement agencies, child protection agencies, or

will make available additional information about such research on the

of or information provided by as a user you.

you are aware with the security issues of Internet communication. As
a user you are also aware any personal information stored on your computer
may be viewed by family members, by as a user your employer, or by technicians

- Limitation
of Liability.

THE SERVICES OR THE SITE, EXCEED THE PRICE PAID BY AS A USER YOU FOR
AS A USER YOUR ACCOUNT.
- TO THE MAXIMUM EXTENT
PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WWW.COUNSELINGWORLD.COM BE LIABLE FOR ANY DAMAGES WHATSOEVER,
WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL,
AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE CONDUCT OF AS A
USER YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICE, INCLUDING
WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER
DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS.
- Indemnity
by Registered User.
As a user you agree to
indemnify, defend and hold harmless WWW.COUNSELINGWORLD.COM , its officers, directors, employees,
agents and third parties, for any losses, costs, liabilities and expenses
(including reasonable attorneys' fees) relating to or arising out of
your use of services, your connection to the Site, your violation of
this Agreement or your violation of any rights of a third party.
- Complaints.
- Term and
Termination.
This Agreement shall become
effective upon your acceptance of the Terms by clicking on the "I
Accept" button below or your use of the Site or the Services and
shall remain in effect in perpetuity unless terminated hereunder. Either
you or WWW.COUNSELINGWORLD.COM may terminate your account at any
time, for any reason or no reason, without explanation, effective upon
sending written notice to the other party. WWW.COUNSELINGWORLD.COM reserves the right to immediately
suspend or terminate your access to WWW.COUNSELINGWORLD.COM, without notice, for any reason or
no reason. In the event your access to WWW.COUNSELINGWORLD.COM is suspended due to the breach of
this Agreement, as a user you agree all fees then paid to WWW.COUNSELINGWORLD.COM shall be nonrefundable and all outstanding
or pending payments shall immediately be due. As a user you may terminate
your own access to the account by contacting Customer Care at the number
listed on the Site or by sending written notice to effect to WWW.COUNSELINGWORLD.COM at the address set forth below. The

- General Provisions.
- As a user you agree
your State or Country laws shall govern this Agreement, the Site and
any Services. As a user you acknowledge and agree any violation of this
Agreement may cause WWW.COUNSELINGWORLD.COM irreparable harm, and therefore agree WWW.COUNSELINGWORLD.COM will be entitled to seek extraordinary
relief in court, including but not limited to temporary restraining
orders, preliminary injunctions and permanent injunctions without the
necessity of posting a bond or other security and in addition to and
without prejudice to any other rights or remedies WWW.COUNSELINGWORLD.COM may have for a breach of this Agreement.
- This Agreement,
which you accept upon registration for the Service, and the privacy
statement located on the Site, contain the entire agreement between
you and WWW.COUNSELINGWORLD.COM regarding the use of this Service,
superseding any prior agreements between you and WWW.COUNSELINGWORLD.COM related to your use of this Site
(including, but not limited to, any prior versions of this Agreement).
Unless otherwise explicitly stated, the Terms will survive termination
of your registration to the Service. The failure of WWW.COUNSELINGWORLD.COM to exercise or enforce any right
or provision of this Agreement does not constitute a waiver of such
right or provision. If any provision of this Agreement is held invalid,
the remainder of this Agreement shall continue in full force and effect.
Regardless of any statute or law to the contrary, any claim or cause
of action arising out of or related to the use of the Site or this Agreement
must be filed within one (1) year after such claim or cause of action
arose or be forever barred. The section titles in this Agreement are
for convenience only and have no legal or contractual effect.

Date.
The effective date of this
version of the Terms and Conditions of Service is April 1, 2008
